Terms of Service

1. Agreement to these Terms

These Terms of Service govern your access to and use of totext.app and the ToText transcription, editing, translation, export, and related services (the "Service"). By using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.

2. Eligibility and accounts

You must be legally able to enter into a binding agreement. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian. You are responsible for accurate account information, the security of your credentials, and all activity under your account. Please notify us promptly if you believe your account has been compromised.

3. Your content and permissions

You retain ownership of the audio, video, text, prompts, vocabulary, edits, and other material you submit, as well as your rights in the resulting transcripts and other outputs. You grant ToText a limited, non-exclusive license to host, copy, process, and transmit that content only as reasonably necessary to provide, secure, support, and improve the Service.

You are responsible for your content and for obtaining all permissions required to record, upload, transcribe, translate, share, or otherwise process it. Recording and consent laws vary by location. Do not use the Service to violate privacy, publicity, confidentiality, copyright, or other rights.

4. Acceptable use

You may not use the Service to:

• break the law or infringe another person's rights;
• upload malware, harmful code, or content intended to disrupt the Service;
• gain unauthorized access to accounts, systems, or data;
• harass, exploit, defraud, impersonate, or harm another person;
• resell, share, or automate access in a way that bypasses plan or usage controls;
• reverse engineer or interfere with the Service except where law expressly permits it; or
• use outputs as the sole basis for decisions that could materially affect a person's legal rights, safety, health, employment, credit, or access to essential services.

5. Transcription and generated outputs

Transcripts, translations, speaker labels, summaries, and other generated outputs may contain errors, omissions, or incorrect attributions. Results can vary with audio quality, language, accents, background noise, file condition, and other factors. You should review important outputs before relying on or publishing them. The Service does not provide legal, medical, financial, or other professional advice.

6. Free access, minute packs, and subscriptions

• Free access may include daily limits and may process only a stated portion of longer files.
• One-time packs add the number of transcription minutes shown at checkout to the purchasing account.
• Subscriptions renew automatically at the displayed billing interval until cancelled.
• You may cancel future renewal through the billing controls available to your account. Cancellation takes effect at the end of the current paid period unless applicable law requires otherwise.
• "Unlimited" plans are intended for normal use by the subscribing account. They do not permit resale, credential sharing, abusive automation, or activity that threatens availability for others. We may apply reasonable safeguards to prevent fraud or abuse.

Prices, included benefits, taxes, currencies, and any pack validity period are shown before purchase. We may change future pricing or plan features, but changes will not retroactively reduce a completed one-time purchase. Where required, we will provide advance notice of subscription price changes.

7. Payments and refunds

Payments are handled by our payment provider and are subject to its terms. You authorize the applicable charges, including recurring subscription charges and taxes. Except where required by law or expressly stated at checkout, purchases are non-refundable once the purchased benefit has been credited or used. If you believe a charge is incorrect, contact support@totext.app so we can investigate.

8. Storage, sharing, and deletion

Available storage and retention controls may vary by plan or task. You are responsible for keeping copies of content you need. If you create a share link, anyone with that link may be able to view the shared result until the link expires or is revoked. Deleting a task or account may permanently delete associated content, subject to limited backups, fraud prevention, legal obligations, and legitimate recordkeeping needs.

9. Third-party services

The Service relies on third parties for functions such as authentication, hosting, content processing, email delivery, and payments. Their availability and separate terms may affect parts of the Service. We are not responsible for third-party products or websites that we do not control.

10. Service changes, suspension, and termination

We may update, add, or remove Service features. We may suspend or terminate access when reasonably necessary to protect users or the Service, respond to legal requirements, address nonpayment, or enforce these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination will continue to apply.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

12. Limitation of liability

To the fullest extent permitted by law, ToText and its service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data arising from your use of the Service. ToText's aggregate liability for claims relating to the Service will not exceed the amount you paid to ToText during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law.

13. Changes and applicable law

We may update these Terms to reflect changes to the Service, law, or business practices. We will post the revised Terms and update the date above; material changes may receive additional notice. Your continued use after the effective date means you accept the revised Terms. These Terms are governed by applicable law, without limiting mandatory consumer protections available where you live.
